Salesforce Buys Business Directory Jigsaw For $142 Million In Cash Plus Earn-Out

Salesforce.com has just announced that it has entered into a definitive agreement to acquire Jigsaw, which provides crowd-sourced data services in the cloud, for approximately $142 million in cash, plus a performance-based earn out of up to 10% of the purchase price.

The deal is expected to close in the second quarter of fiscal year 2011, subject to customary closing conditions.

The enterprise cloud computing company in a statement touts Jigsaw’s Wikipedia-style crowd-sourcing model, which it says delivers the world’s most complete, accurate and up-to-date business contact data (e.g. check out Salesforce’s profile on there).

When we first reviewed the company back in 2006, Michael Arrington deemed it a really, really bad idea because Jigsaw would pay people simply to upload other people’s contact information (a privacy nightmare).

Jigsaw has changed its model since then: people can now see if their personal information has been uploaded, and there is a process to have it removed, at least temporarily. And users are no longer paid cash to upload contacts. Instead they receive points that can be used to download contact other people’s contact information. Revenue was rumored to be around $30 million per year at the end of 2009.

As for Arrington, he went from calling the company evil to simply amoral. The question is now if the new owner will be inclined to modify its questionable business practices.

Going back to the acquisition: Salesforce says the deal will allow the company to combine its suite of CRM applications and enterprise cloud platform with Jigsaw’s model for the automation of acquiring and keeping up-to-date business contact data. Jigsaw’s data cloud platform, it adds, also creates an opportunity for developers and ISVs to deliver new applications that leverage the business contact data found in Jigsaw.

Looking ahead, Salesforce seeks the creation of new partnerships with information services companies like D&B, Hoover’s and LexisNexis.

Jigsaw’s community is said to consist of more than 1.2 million members. Over the last six years, community members have built and maintained a contact database of more than 21 million professionals at nearly 4 million companies, according to the press release. Jigsaw currently has 800 corporate customers.

The company had raised $18 million in venture capital to date.

    Has anyone been the unfortunate beneficiary of handing out a Biz card at an event only to find it posted on jigsaw? They suck card info from individuals who sell info, then the headhunters start calling and then management asks why are they calling>

    The better acquisition would have been LinkedIn. Imagine the accuracy of contact info entry when the contact owner is the author.

    interesting that we get a view on the morality of the companies from techcrunch as well. we should keep a running tab of how much wealth was created/lost by what techcrunch dubs as bad ideas. and how much wealth was lost/ created by what techcrunch dubs as good ideas. i think we know the answer – probably be the same as most what VCs would hit and of course the monkey throwing a dart (see Random Walk Down Walk Street).

    Note, Jigsaw counts "graveyarded" contacts in their totals, today roughly 1/3rd of the reported numbers.

    Today there are 14.65 million contacts not in the "graveyard", 12.99 of those in the U.S.

    These numbers are determined from Jigsaw's "Find Contacts" search page, and not adding any filtering criteria.

    On the surface, Jigsaw seems like a great idea. Problem is that most of the contacts from my small company (150 employees) are very old & out of date (some from 2001 !).

    Yup. Their model was based on "buying" contact data from people you gave your card to. Users of the service bought list of names in exchange for giving Jigsaw a list of the business cards they'd collected.

    And not only headhunters farm them. As a VP Marketing, I get a dozen cold calls a day from people who believe these are "warm leads".

    From what I understand LinkedIN and Salesforce don't have the best relationship.

    Salesforce is trying to move more into social areas — Chatter for example.

    This could be the beginning of expanding Jigsaw to be more like LinkedIn.

    I'm confused here, and it may be that I'm not getting the information right.

    Why will the founders of a company that is making annual revenues of about $30 million want to get acquired for less than five times its annual revenues?

    I seriously don't find this too smart!

    Good move for Salesforce that gives leads to their CRM sales and marketing applications. Jigsaw is a good company and is applying legitimate data gathering techniques. I have experience dealing with all the different lead/contact services and Jigsaw was one of the best.

    The data seems old. I think Salesforce has made a mistake. My contact is three jobs ago (strangely, a job that we used Salesforce on which makes me wonder if Salesforce sold my data?). Changing your contact information is a complete pain. Jigsaw is the pits in my opinion.

    Since 2006 TechCrunch has covered Jigsaw and there was a lot of discussion about its evilness (or lack of moral).

    All those previous were TC's opinion about the company (with which I haven't agreed, but totally understand and respect). The current post is much less opinative, much more informative.

    I really miss more of TC's opinion on this subject. Has it changed (the world has changed even more)? And… if TC still find its business practices amoral, shouldn't this point receive more attention now that a much more important company has bought Jigsaw?

    I think Dana Gardner got it right in his ZD/NET post (http://blogs.zdnet.com/Gardner/?p=3572) when he wrote:

    “Oh, and don’t give me the “I’m a victim” crap about how your identify is being pilfered or your privacy invaded by this data collection and cleansing. The data is being contributed by you, and everybody else all the time, ie, Facebook, … freely and openly — just by being online. It’s the quid pro quo of the web.”

    LinkedIn has better data, come on? If you leave updating your contact information up to the individual only, you end up with multiple, abandoned profiles. Everyone keeps their profile updated while in the job hunt, then many abandon their profile. Many of the leading data companies and web tools have been using Jigsaw data for years. Hoovers, Insideview and many more. Strategic move for Salesforce.com. Congratulations to the innovative, out-of-the-box thinkers at Jigsaw – Garth, Jim and Kevin. You won!

    There are data quality concerns to work out, but at a high level, what better way to crowd source the data accuracy of Jigsaw then with the #1 CRM application?

    I'm assuming salesforce's direction with this will be to have Jigsaw in 1000's of instances of salesforce. If one instance get a hard bounce, or flags the contact as graveyarded, this could "share" with the other 1000's of instances. Maybe not immediately update those instances, but at least flag them. Maybe have thresholds of if 10 or more flag as graveyard, then graveyard, etc.

    If salesforce can essentially pitch this as crowd-sourcing among other salesforce users, the data quality suddenly improves a ton. Jigsaw has been trying to go there, but didn't have the infrastructure of CRM. Salesforce does. Could be interesting.

    With CRM Bucket of Salesforce filled with Jigsaw contacts this would be a great combination and probably together they would provide more streamlined and turn key solution for marketing needs of a company!
