Google In Discussions To Acquire Yelp For A Half Billion Dollars Or More

Google and Yelp are in advanced acquisition negotiations, we’ve confirmed from multiple sources. And while the deal isn’t done, we’ve heard that it’s very likely to close. The price is supposedly at least $500 million.

Yelp was founded in 2004 as a way to let users leave reviews on local businesses. Comscore puts worldwide traffic at nearly 9 million monthly unique visitors, and it has been growing fast – the company says it’s real numbers are more like 25 million monthly uniques.

Yelp has whispered that 2009 revenues will be around $30 million and are expecting $50 million or so in 2010.

Yelp last raised venture capital in early 2008 from DAG at a $200 million pre-money valuation, we’ve heard. They’ve raised a total of $31 million over four venture rounds.

On the odds of the deal happening – one source says its 80% likely. Not signed, sealed and delivered, but past the term sheet stage.

Google is building out their own directory of local businesses with its Place Pages, which can be accessed via Google Maps and local search. They are encouraging local businesses to put Google-branded stickers in store windows and recently added their own ratings summaries to business profiles. Yelp, of course, already has all of this data, along with a growing and active audience of consumers who are used to finding (and rating) businesses on Yelp.

For their part, Google is clearly on a shopping spree. They recently acquired AdMob for $750 million, and were in the running on the LaLa acquisition. Expect lots of deals to be announced by them over the next three months.

    I’ve always been a big fan of yelp. I did an article on them in ’06 on how they motivate consumer behavior through game mechanics a while ago, they were the foursquare of their day :)

    The reasoning still stands as to why Google should want Yelp too. Protective move for Google, but there’s lots of money here too. Makes more sense for Google than buying Twitter, actually.

    I hear the new version of the iPhone app is gunning for foursquare and Gowalla, with integrated location check-in and local deal’s.

    Either way, they’ve built a solid team, and this would be Stoppelman’s second exit (PayPal).

    I think its a smart move from Google, but it would make sense for long term competition if Bing or Facebook purchased it as i think Google Place Pages will provide a strong competition.

    Wow. Congrats to the Yelp team. I assumed Google would try to muscle into their space with Latitude, etc. Don’t know about the price, but Yelp’s open API is great (we use) and I think they’ve made a lot of headway overseas. I think they’ve got a great team as well. Nice way to end a rough year.

    Something doesn’t smell right. But what is $500 million to Google to kill of some competition. (see purchasing blogger to stop the click fraud on millions of blogs with AdSense html inserted.)

    Scoble- you are caught up in this Facebook should have bought Yelp business. Really? Facebook has millions in the bank, 350+ million users worldwide. They build their own location platform – keep all location data to themselves and they will blow Yelp and others out of the water. Not every company has to buy someone in order to reach a goal.

    Um, sorry, something like Yelp is NOT easy to build, even if you seemingly have 350 million users wrapped around your fingers. I used to hear that all the time at Microsoft (engineers used to tell me not to worry about Google or Facebook because they had 300 million users on MSN Messenger or Hotmail and Microsoft, the saying went, would be able to build a Facebook or a search engine in a few weeks and get all those users to use it. Bullshit.)

    No sour grapes. That algorithm is bunk, it’s overvalued. I have over 1200 reviews on that damn site, and I wouldn’t trust the majority of the content either.

    This means one more “category” of stuff that Google will own, that also benefits from Google (and other) search traffic.

    One wonders, if they make the purchase, if this will begin giving enhanced listing to other local businesses (eg, apply the yelp data to some other site, similar to extracting the video if it’s a youtube one, etc) in search.

    If so, Yelps numbers would skyrocket post purchase…makes sense.

    I have to wonder though if Google does this with many categories of search (video, blooger, local…news?) then will they end up having some anti trust allegations with their “natural” search results, ala Microsoft with browser bundling.

    My gosh… maybe my reviews will finally have relevance. Anyhoo… I do note there is a bubble of bay area where yelp is EVERYTHING, and outside that it’s LA, NY, Chicago… maybe. Most cities have very little steam.

    I am so excited to see what google could do with this. And really… seriously. Fix the algorithm.

    I just think it is interesting that everyone is always surprised by deals like this saying so and so should have bought this company. Take a step back and think to yourself that maybe Facebook is building something similar?

    If all those things are so easy to build why hasn’t Facebook already built them? I hear this kind of arrogance from engineers all the time (it isn’t exclusive to Microsoft). One guy told me “I can build Digg in a week or two.” Oh, yeah. Right.

    Facebook has 200+ engineers. Why haven’t they cloned Twitter yet if it’s so easy? Heck, they bought FriendFeed which has a great real time search engine and much better direct messaging than Facebook has. Why haven’t they put in place the technologies they already own? Hint: this stuff ain’t as easy as you say it is.

    I am sure it is not easy Robert. Part of the real value is in the buzz creation from the product. Yelp was funded back in 2005 (I think initially from Bessemer Ventures and others). So this is a long standing company that Google probably thought would be a real threat. As you mention on your blog.

    Who knows why Facebook hasn’t built their own location based platform on top of their existing service. If it hard to build maybe we will see it in 2010.

    And Facebook has really cloned a Twitter :) Its called “Whats on your mind?”

    I remember when Blockbuster had the chance to buy netflix for under a billion and they balked at it. I agree that a lot of the dot coms were overvalued but you never know when the next big thing will happen. I use yelp a lot out of curiosity but I rarely use it to make decisions. I ordered Pizza from a 2 star yelp place and thought it was not too bad! I also have heard of restaurant staff/owners going on yelp to make up fake reviews.

    Very unlikely. 60% of yelp’s traffic comes via Google search. Google could simply “tweak their algorithms” and suffocate yelp. They did this to Truveo recently.

    It almost feels like Yelp had the opportunity to be a lot more than it is now – useful at first, but the usefulness of the reviews has gone down, and it just doesn’t seem as vibrant as it once was. When you talk about local these days, it’s all about the mobile guys like Foursquare and Gowalla. Yelp hasn’t even been in the conversation.

    It’s one thing to build it. It’s another to get people to use it.

    Yelp and Zagat are already in this space. People will feel fatigued if they have to handle with yet another crowdsourcing restaurant app.

    If you’re trying to outplace a well-off competitor, you can’t just be slightly better or 2x better, you need to be 10x better if you want significant traction in the marketplace.

    I was recently “cheated” by Yelp’s restaurant reviews and had a big disappointment when I traveled and dined at a Yelp’s rock-star restaurant.

    Hiding my disappointment, I asked the restaurant owner how she managed to have high Yelp rating. She directly said that she asked many friends “helping” her. WTH?!

    You have to take the reviews with a grain of salt.

    The four metropolitan areas you named cover almost 16% of the population of the United States, or roughly 49 million people (according to Wikipedia). Seems worth it to be EVERTHING in those areas.

    (Actually, I would also venture that it’s pretty big in the SeaTac area, too, not to mention major metros in Texas, but I’m not so sure about that last one)

    Crazy. Google is swallowing the entire internet. Techcrunch should write a ‘Is Google too big?’ article. Eventually they’ll get so big that they will stifle innovation rather than contribute to it(like Intel). That point is coming soon(prob within 5 years).

    google needs to stop buying everything. i don’t see how this integrates with their products. The google acquisitions that have been successful are the ones that have become “googlized” like Voice and Docs. The failures are the ones that stay just as they were before google took over, like Orkut. I don’t see Yelp becoming just another Google product. And I can seriously see rivals passing Yelp by.

    This sounds like the MySpace/Facebook arguments from years ago…. clearly Gowalla and Foursquare have all of the momentum and Yelp is looking like a Web 1.0 app at this point. I can see this becoming yet another Orkut like acquisition for Google. It doesn’t seem like a google product.

    Facebook has to find a way to get Yelp. This would be a huge loss for them.

    Yelp is a better fit with Facebook than Google. Yelp is first and foremost about trust and community. That’s where the value comes from. Facebook has the same intrinsic value. Putting them together makes sense.

    I don’t see how putting Google and Yelp together makes sense for users. I see how it makes sense for Google… but not for users. Shouldn’t that count for something? I hope Yelp is looking at it from that point of view too.

    I foresaw this with the addition of categories (“restaurant”, “pharmacy”, etc) in Google Maps and the every now and again addition of a couple of reviews. Facebook is not a geolocalization service and acquiring Yelp would not have solved this problem. With Google favorite places I thought, “Wow, this is looking more and more like Yelp with less character and more power and technology.”

    I’d argue that the success of Yelp has been its culture which is primarily defined by its use of language. The content / wording on the Yelp site is unlike any other and this helps develop a sense of community and “user rhetoric” (if I can create a term). For example, on Yelp it’s not “Edit your profile” it’s “So who are you, then? Tell the rest of Yelp about your pretty little self.” The style of the content on Yelp has reached such a level that I’d feel like an ass if I wrote a 2 lined review in SMS.

    Alongside this phenomenon (the micro-culture of “everyone’s a writer / critic”), I find it interesting that Yelp has not branched out into other languages (like it’s ugly European doppleganger Qype). It treaded cautiously to Europe and decided to stay in the UK. I imagine that the anglophone nuances in the Yelp language would probably be very difficult to translate: you’d have to have people who not only know the idiosyncracies of the language, but the culture and the humor du jour.

    If the deal is done, I would be very curious to see how the two brands mix (Google a pragmatic culture of minimalism and Yelp a very colorful culture of language and nuance). I would also be very curious to see if they attempt to branch out into other languages and if they manage to cultivate the same kind of tongue-in-check content (I know living in France that not everyone has the audacity to call themselves a writer / critic).

    As far as I’m aware Digg created Pownce and it did not really pick up.

    I tend to believe engineers, it’s easy to build most of the stuff (twitter clones especially) if
    you have experience and server side resources.

    For the most part it’s up to higher management to decide what engineers need to be working on.

    And I doubt management can say ‘Oh guys let’s not work on Facebook anymore, let’s build a twitter clone; we also need several millions on new infrastructure and few other millions on marketing, thanks!

    Perhaps under Google, Yelp’s ridiculous advertising policies will become more reasonable.

    I recently received a sales call from someone at Yelp who didn’t even know what the phrase CPM meant and was pitched the following deal:

    $300 per month for 500 impressions. 1 year contract required.

    Aside from the fact that those numbers are ridiculous compared to any other form of advertising, the worst part is that there’s no way to target your campaign.

    My fiance’s salon would be served ads across all salon pages in New York metro area, whether it be New Jersey, Queens, etc. This also includes salons of any pricepoint, so someone searching barber shops with cuts under $15 could easily be shown an ad for her $80/cut business.

    In addition, they do nothing to block HER (the user who purchased the ads) from seeing her own ads. Just went to check out 10 of your competitor’s pages to see how they’re doing? Oops, there’s an ad for my own salon on each page! $17 of your campaign down the drain.

    Isn’t Google taking one step to far in the interweb ecosystem/food chain? I mean both controls the infrastructure, revenue (AdSense), guide/traffic driver (search) and now more and more enter content and direct compete with many of their partners and income generators.
    Some said (Google?) want be where Microsoft where on pc but for Internet. 90% market share in browser or OS is less powerful than 70-80% in search and Google position in advertising. Maybe time to split advertising to a separate business?
    If forget the very cool Apple and see this as a battle between Microsoft and Google alone. Then the war reminds me about the cold war where Google are USA (hey I don’t say MS are commy but I mean the way they operate). Browser, OS, Office and mobile are 3rd country battlegrounds like the old Afghanistan conflict where USA made the costs so big for Russians (in a war both know they never could win as can’t win over war over faith based countries). Germany is like search where west/east Germany is seen as big potential battleground while real battle is advertising.
    By set price to zero then Google products don’t need to beat Microsoft big win except make money is less war money for Microsoft. Microsoft runs with 5 years plan economy while Google dominate with speed. Microsoft use 100,000 tanks battle plan while Google go Special Forces and smart weapons. Until Microsoft dare or understand how to both launch the best products from market perspective but more impotent how to make Google bleed/ lose. But I have to say Microsoft the last year become much better on product side but they need to make Google lose income. I would go for Advertising with minimal margin. if could make AdSense partners make 10% more we would see a position change after 2-3 years).
    Microsoft have so much stuff and if just market and sell them correct they could at least compete with Google instead of just buy the 2nd,3rd or 10th play for huge prices. Also a totally revamp of MSN plus take all they have to next generation.
    Even if I grow up as European but still a great lover of USA from where I have some roots. I wonder if rest of world wants to be in the hand of USA companies. But guess rest of world except countries like France don’t care yet.
    I personally think Google’s power is too big and with this step I have to turn to anti-Google. Love Google people, like Google products (they far from best in most cases. But fan boys to Google, Apple and Microsoft remind me of some church where aliens are involved. So maybe better shut up.
    When talk about Google and debate their business we often hear stuff like its free, Larry and the guys or you can easy change to other products. But Google make it impossible to compete and market by market they dominate. Look Android. They fooled all providers to give up their own (with this they hurt Microsoft). The other mobile phone companies created and market the ecosystem but now Google will close the market with their own phone. We see it before…..

    Don’t comment as the company look today – think if Newscorp or Chinese/Iran petrodollar bought them. May sounds impossible but when comment on regulations and stuff we need see the big picture and not just how Google act today.
    The idiots at EC should demand
    -split for Google in search, advertising and content company.
    -transparent and public ranking algorithms (with today’s market Google can almost kill or opposite make a company worth millions of dollars.
    Google true mantras – don’t look evil. If you have something to hide you most likely into something bad.

    I agree with D. Abraham. I believe the tech part and constructing this isn’t the challenge and in that sense G or FB could crank out a knock off with ‘relative ease’ (though I also agree with Scobleizer that this stuff takes time). But the goal of an acquisition like this is obviously not the technology. I believe its not even really about the user base, since they already have 100s of millions of users, but rather the momentum of a specific feature or userbase to kickstart a new feature or end-user habit into the mainstream and into their existing ecosystem.

    I thought it makes perfect sense for Google to roll this into Places.

    Google should use this as a means to create the first Consumer Relationship Management system. Google should build YELP into a tool to help consumers feedback to producers.
    Search advertising and profile building based on internet searches are kind despicable.
    Google needs to deliver people the information they want, and provide them with the means to feed back on what they consume. Producers will pay for that.

    Yelp is just a modern version of Citysearch and equally as useless. The best use of Yelp is for looking up a restaurant telephone number. Hardly something that Google would have trouble replicating itself.

    Yelp reviews are worthless. Look at the rating distribution, 67% of rated businesses get 4 or 5 stars. 85% score 3 stars or above.

    If your website primarily rates restaurants and 85% of the restaurants score 3 stars or better, I would say that your rating system is CRITICALLY flawed.

    You could serve Yelpers shit sandwiches and get 3.5 stars.

    I wish we had a filter that would prevent anyone who has not started a company/released a product/gotten distribution/built a substantial customer base from making naive comments on how easy it all is to do. ;-) If the rumour true, this seems like a great move for both Google and Yelp, and the Yelp team deserves congratulations on building a great product and substantial business. The opportunities for Google in local advertising here are huge, and I’m sure this is just the beginning.

    Same 25 generalized attributes – hours – good for groups – good for kids – blah, blah, blow me and come back when you have something more than a lame ass (*) SQL query that filters as well as a piece of swiss cheese shot with a 12 gauge…

    And that’s the word.

    I didn’t know Yelp had any value other than learning what 20-something, Asian-American females think about your local businesses. Personally, I find they’re often way off the mark, in relation to my personal opinion. As a result, I rarely visit Yelp.

    whoever gets this asset will be fortunate (price matters, i understand :-)

    one non-sexy (but definitely important) piece to the story concerns how they’ve been doing a great job “managing growth”. with revenue starting to really scale and all the associated cost/overhead considerations, they’ve been pretty fortunate to have a great team taking care of all those operational issues. even if an acquisition doesn’t happen at this moment, great to know they’ve got things buttoned up to manage on their own.

    Yuck. As a current Yelper I don’t want Yelp to be owned by Google or any other conglomerate near monopoly web. The Google Monster already controls too much swath of the Internet already. Once they get a hold of Yelp, they are going to add more data to their giant data collection, try to link our user Ids to our other emails addresses, try to sell more ads (capitalism at it worst), etc. Why does Google want Yelp? Because unlike Google searchers, we Yelp users use our real names and photos just like FaceBook. Since Google can’t buy FaceBook (my friend who works at FaceBook says that most of his coworkers there hate the Google Monster too), it wants Yelp to get “real people” info instead of IP addresses and email addresses. There is a small but growing numbers of Yelpers that would quit Yelp and delete their accounts than be part of the Google Monster.

    It took Google more than 10 years to get to where it is. How can anyone expect Bing or any other search engine to do that in even less than one year. You know as well as anyone Robert (as a former Microsoft employee you were), that these things take time. Look at Firefox: how long has it been to surpass IE? IE is losing market share (and rightfully so, it sucks), but it still has 2 x the market share of Firefox after 5 years. Building market share takes time, especially in this day of the internet where habits are hard to break. The web has matured since 2004, and most people are so used to typing Google as their search (or using the built-in Firefox search) that they never even think about using anything else. A parallel example is MS Office. I recently tried to get some of my coworkers to try OpenOffice and GoogleApps. I couldn’t get any of them to switch away from MS Office; why? I assume it was habit, they are used to it. people are switching to GoogleApps, but just in small numbers. Same is true for Bing; it took me a long time to switch to Bing, but the more I used it the less I liked Google. Now the only Google service I use is Gmail (I love the labels feature) and YouTube.

    The problem I find with Google is that they like to gather data on people and want real people for a change and that they want to see ads against that data. Do any of you watch TV? Do you look forward to the commercials? I don’t, that’s why I Tivo fast forward. Do you like all those “Ads by Google” you see everywhere? I don’t. Ask any one who has been burned by Google’s capricious Adsense policies when they had their AdSense account cancelled for seemingly spurious reasons. Who clicks on those ads anyway to generate Google’s 25 billion dollars per year revenue? Nobody I know clicks on them (at least they won’t admit it.)

    looks like a great acquisition if it closes. if it doesn’t, yelp is in great shape for the future. know some of the folks over there. one key to their success has been the somewhat mundane/operational things – growing staff while properly managing expenses; understanding revenue growth; managing financials; etc. they have a fantastic team working on this. will bode well regardless of what happens in this deal

    Seems like thats alot of money for something Google was already starting to do. Who knows how much money Google was already spent collecting data for local business and posting reviews for them. It would be nice if Google would pay more attention to fixing their ranking alg. to block out more spam style blogs from their results.

    Yes. And Yelp has yet to respond to these extortion & rigged-algorithm accusations… unless you wanna call their yelling “That’s A Lie!!’ a response.

    In fact, I’m quite disappointed with Google now. Rewarding Yelp’s questionable ethical practice with an acquisition creates bad precedence & moral hazard for future startups.
